1. Acceptance of Terms

Traffiq Labs (“we,” “our,” or “us”) provides marketing agency services, GoHighLevel platform implementation, and related marketing automation solutions (collectively, the “Services”).

By accessing our website, purchasing our Services, or using our platform implementations, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms” or “TOS”).

2. Description of Services

Traffiq Labs provides professional marketing and automation services, including but not limited to:

  • Marketing agency services (SEO, PPC, lead generation, reputation management)

  • GoHighLevel platform setup and configuration

  • Automation workflow development

  • AI chatbot and voice system setup

  • CRM and sales pipeline configuration

  • Ongoing marketing optimization and management

3. Eligibility and Registration

3.1 Eligibility Requirements

To use our Services, you must:

  • Be at least 18 years old

  • Have legal capacity to enter binding contracts

  • Be authorized to represent your business or organization

  • Reside in a jurisdiction where we operate (Canada or the United States)

3.2 Account Responsibility

You are responsible for:

  • Maintaining accurate and up-to-date account details

  • Protecting your login credentials

  • All activities under your account

  • Promptly notifying us of any unauthorized access or security breach

4. Payment Terms

4.1 Fees and Billing

  • Setup fees are due upon initiation of service

  • Monthly or recurring services are billed in advance

  • All fees are quoted in U.S. Dollars (USD) unless stated otherwise

  • Canadian clients are billed in USD and subject to applicable currency conversion rates

5. Implementation and Client Responsibilities

5.1 Implementation Timelines

  • Standard setups: 10–15 business days

  • Complex implementations: 15–30 business days

  • Timelines depend on client responsiveness and provision of required materials

5.2 Client Responsibilities

Clients agree to:

  • Provide all necessary business information and platform access

  • Respond to implementation requests within 48 hours

  • Assign a primary point of contact for communications

  • Review and provide feedback during key project phases

5.3 Service Modifications

We reserve the right to:

  • Modify or enhance Services with 30 days’ notice

  • Discontinue or replace features when necessary

  • Update pricing with 60 days’ notice for existing clients

6. Intellectual Property

6.1 Our Intellectual Property

We retain ownership of all:

  • Proprietary automation workflows and scripts

  • Custom development code

  • Platform configurations and templates

  • Documentation, training materials, and internal methodologies

6.2 Client Intellectual Property

You retain ownership of your:

  • Business data and content

  • Customer lists and CRM records

  • Brand assets, creative materials, and proprietary information

6.3 License Grant

We grant you a limited, non-exclusive, and non-transferable license to use our custom implementations during your active service term.

7. Third-Party Platforms

7.1 Dependencies

Our Services may rely on third-party platforms such as:

  • GoHighLevel

  • Social media networks

  • Payment processors

  • Analytics tools

7.2 Platform Changes

We are not liable for:

  • Outages, updates, or service interruptions from third-party platforms

  • Feature changes made by external providers

  • Integration disruptions caused by API or software updates

8. Data Protection and Privacy

8.1 Data Handling

We will:

  • Implement industry-standard security measures

  • Process personal data in accordance with our Privacy Policy

  • Comply with applicable Canadian and U.S. privacy laws

  • Provide reasonable assistance for client data protection obligations

8.2 Client Data Responsibility

You are responsible for:

  • Obtaining consent from individuals whose data is processed

  • Ensuring data accuracy and lawful use

  • Responding to data subject requests under applicable privacy laws

9. Confidentiality

9.1 Confidential Information

Both parties agree to protect the confidentiality of:

  • Business strategies and operational plansAccess your personal data

  • Customer data and internal documents

  • Technical and financial information

9.2 Exclusions

Confidentiality obligations do not apply to information that is:

  • Publicly available without breach

  • Independently developed without reference to the disclosing party

  • Required to be disclosed by law or government order

10. Termination and Cancellation

10.1 Termination Rights

Either party may terminate this agreement:

  • For material breach with 30 days’ written notice

  • Immediately, in cases of abuse or violation of acceptable use policies

  • Without cause, with 30 days’ written notice

10.2 Effect of Termination

Upon termination:

  • All active services will cease

  • Any outstanding invoices become immediately due

  • Client data will be exported in a standard format

  • Access to hosted platforms may be revoked

10.3 Data Export

Upon request, we will provide:

  • Contact data in CSV format

  • Workflow documentation

  • Configuration settings

  • Historical campaign reports (if available)

11. Disclaimer of Warranties

11.1 “As-Is” Services

All Services are provided “as is” and “as available.” We make no warranties regarding:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Uninterrupted or error-free operation

11.2 Results Disclaimer

We do not guarantee:

  • Specific marketing or sales results

  • Search engine rankings

  • Conversion or revenue increases

12. Limitation of Liability

12.1 Maximum Liability

Our total liability shall not exceed:

  • The amount you paid to Traffiq Labs in the six (6) months preceding the claim, or

  • $10,000 CAD, whichever is less

12.2 Exclusion of Damages

We are not liable for:

  • Indirect, incidental, or consequential damage

  • Loss of profits, data, or revenue

  • Business interruption or reputational harm

13. Indemnification

You agree to indemnify and hold harmless Traffiq Labs, its affiliates, and team members from any claims, damages, or expenses arising from:

  • Your misuse of the Services

  • Your violation of these Terms

  • Your infringement of third-party rights

  • Your breach of applicable laws

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by the laws of:

  • The Province of Ontario and the federal laws of Canada, and

  • Applicable U.S. federal and state laws where relevant.

14.2 Jurisdiction

All legal proceedings shall take place in Brampton, Ontario, Canada, unless otherwise required by law

15. Modifications

15.1 Right to Modify

We may update or modify these Terms:

  • With 30 days’ written notice

  • To reflect changes in our Services, policies, or legal requirements

15.2 Continued Use

Continued use of our Services after updates constitutes your acceptance of the modified Terms.

16. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect

17. Entire Agreement

These Terms, together with our Privacy Policy and any signed agreements, constitute the entire agreement between you and Traffiq Labs regarding the Services.

19. Service-Specific Terms

19.1 GoHighLevel Implementation

  • Platform subscription fees are separate from our service fees

  • Clients must maintain an active GoHighLevel subscription

  • We are not responsible for platform updates or policy changes made by GoHighLevel

19.2 Marketing Services

  • Performance varies by market, industry, and competition

  • Results depend on client collaboration and approval

  • Campaigns require client authorization before launch

19.3 AI Services

  • AI outputs may vary and are not guaranteed to be error-free

  • Regular monitoring and adjustments are required

  • Clients are responsible for reviewing AI-generated content

20. Service Guarantees

20.1 Satisfaction Guarantee

  • A 30-day money-back guarantee applies to setup fees only

  • Excludes ongoing monthly services and third-party costs

  • Refunds require evidence of non-performance

20.2 Service Level Agreements (SLA)

Enterprise clients may receive custom SLAs as defined in their signed agreements.
